Terms of Service

The rules for using weave: what we provide, what customers and their users agree to, and how the relationship works.

Last updated 2 November 2026

1.The agreement

These terms govern access to and use of weave, provided by EMOR(“EMOR”). By creating a workspace, signing an order form or using weave, the organisation you represent (the “Customer”) agrees to them. If you accept on behalf of an organisation, you confirm you have authority to bind it.

If a signed order form or master agreement conflicts with these terms, the signed document wins. Our Privacy Policy and any data processing agreement form part of the agreement.

2.Definitions

  • Service: the weave web and mobile applications, APIs and related support.
  • Users: the people the Customer allows to use its workspace, such as employees, managers and administrators.
  • Customer Data: data the Customer or its Users submit to the Service.
  • Order form: the document setting out the plan, modules, user numbers, fees and term.

3.Accounts and access

  • The Customer controls who has access to its workspace and which role each User holds.
  • The Customer is responsible for its Users’ compliance with these terms and for keeping credentials confidential.
  • Tell us promptly at contact@emor.tech if you suspect unauthorised access.

4.Acceptable use

The Customer and its Users must not:

  • use the Service in breach of law, including employment, data protection and anti-discrimination law;
  • upload malware, or content that infringes others’ rights;
  • try to access another customer’s data, bypass access controls, or probe the Service outside our responsible disclosure policy;
  • overload, disrupt or reverse engineer the Service, except where the law allows it; or
  • resell or provide the Service to third parties unless agreed in writing.

We may suspend access that threatens the security or integrity of the Service, with notice where practical.

5.Customer Data

The Customer owns its Customer Data. It grants EMOR the rights needed to host, process and display it to provide and support the Service, and for no other purpose. We process personal data in Customer Data as a processor, on the Customer’s instructions.

The Customer is responsible for the accuracy of Customer Data and for having a lawful basis, notices and any consents needed to process its people’s data in weave, including location data for geofenced attendance.

6.AI-assisted features

AI features produce suggestions, labelled as AI-assisted, that may be incomplete or wrong. The Customer remains responsible for reviewing them and for any decision it makes about a person, including in hiring, pay and performance. AI output must not be the sole basis of such decisions.

7.Fees and payment

Fees, billing frequency and payment terms are set out in the order form. Fees are exclusive of taxes, such as GST, which the Customer pays in addition. We may suspend the Service for invoices unpaid more than 30 days after written notice.

8.Availability, support and changes

We work to keep weave available and to provide the support described in the order form. We improve the Service continuously and may change features; we will not materially reduce the core functionality of a paid plan during its term.

Features marked beta or preview are provided as-is and may change or be withdrawn.

9.Intellectual property

EMOR owns the Service, including its software, design and the weave name and marks. Apart from the right to use the Service under these terms, no rights are granted. If you send us feedback, we may use it without obligation.

10.Confidentiality

Each party will protect the other’s confidential information with at least reasonable care, use it only to perform the agreement, and share it only with people who need it and are bound by similar duties.

11.Warranties and disclaimers

We will provide the Service with reasonable skill and care. Payroll, tax and statutory calculations depend on the configuration and data the Customer supplies, and the Customer is responsible for checking results before relying on them. Except as stated in these terms, the Service is provided without other warranties to the extent the law allows.

12.Limitation of liability

To the extent the law allows, neither party is liable for indirect or consequential loss, or loss of profits, revenue or goodwill, and each party’s total liability under the agreement is limited to the fees paid or payable in the 12 months before the claim arose. These limits do not apply to the Customer’s payment obligations, to breach of confidentiality, or to liability that cannot be limited by law.

13.Term, suspension and termination

The agreement lasts for the term in the order form. Either party may terminate for material breach not remedied within 30 days of written notice.

On termination, the Customer can export its Customer Data for the period stated in the agreement, after which we delete it as described in our Privacy Policy.

14.Governing law and disputes

These terms are governed by the laws of India. The parties will first try to resolve disputes in good faith; if that fails, the courts at the place of EMOR’s registered office have exclusive jurisdiction, unless the order form says otherwise.

15.General

We may update these terms and will give notice of material changes before they take effect. Neither party may assign the agreement without consent, except in a merger or sale of the business. If any provision is unenforceable, the rest remains in effect.
